Callahan & Blaine

SourcingLink.net, Inc., a San Diego, California manufacturer of retail software, entered into a contract with Carrefour, S. A., a French corporation and the second largest retailer in the world, with over $100 Billion in annual sales. The contract was for SourcingLink to provide Carrefour with software to link its 24,000 worldwide suppliers over the Internet.

SourcingLink later sued Carrefour, claiming breach of contract and fraud. The company hired Callahan & Blaine to represent their interests in this lawsuit; attorneys Daniel J. Callahan and Brian J. McCormack argued the case.

Callahan contended that once Carrefour had breached its first agreement with SourcingLink, they had suggested a second agreement, but that Carrefour had no intention of following through on the second agreement and had in fact it suggested it in order to stall SourcingLink until the time had passed to file suit in the breach of the first agreement.

The jury agreed with Callahan, and found that Carrefour had defrauded SourcingLink into providing a release of liability arising from a breach of this contract based upon the promise that Carrefour would enter into a software license agreement with SourcingLink. The jury found that Carrefour had no intention to enter the second agreement and, in fact, used another software system to perform many of the same functions. The jury also found that Carrefour breached a second service contract which also called for the execution of a software license agreement.

After a five week trial, the jury concluded that Carrefour’s actions were fraudulent and awarded Callahan & Blaine’s client $5 million for fraud and breach of contract.
